Uber board votes to adopt report about toxic behaviour at firm

The Board unanimously voted to adopt all the recommendations of the Holder Report.

At the meeting on Sunday, board members were expected to discuss Kalanick temporarily stepping away from the embattled ride-hailing firm - possibly returning to a role with less authority - and other changes to executive leadership.

However, a Reuters source said it is not clear that the board will make any decision to change Kalanick's role.

The meeting, which Uber did not publicise, was a pivotal moment for the world's most valuable venture-backed private company, which upended the tightly regulated taxi industry in many countries.

Uber's board has only one independent director, Arianna Huffington, who joined past year and who has been a staunch supporter of Kalanick. Most recently Uber parted ways with Eric Alexander, another top executive, following questions about whether he improperly obtained a woman's medical report following her alleged rape by an Uber driver.

Also this year, Uber was caught using a secret in-app tool called "greyball", that helped it evade cops and competitors in areas where the ride-sharing service was not legally allowed to operate.

Kalanick has been weakened by the allegations that, under his leadership, the company tolerated sexual harassment and sexism, prompting Holder's investigation.

On Sunday, Uber directors weighed on a three-month leave of absence for Travis Kalanick, the 40-year-old CEO who founded the start-up and have turned it into a almost $70 billion entity, reports The News York Times.

Uber has since faced other problems, including an intellectual property dispute over self-driving auto technology with Waymo, the self-driving vehicle business that operates under Google's parent company.

Uber CEO Travis Kalanick was advised not to send the 2013 email, known as the "Miami letter". Michael was the one who in 2014 suggested that Uber dig up dirt on journalists looking into the company's practices. She added that she was committed to getting the number of harassment complaints at Uber down to zero.

Employees and close watchers of the company worry that even the most damning conclusions of the Holder investigation could be ignored. Over 20 employees have already been fired in a move that was widely perceived as an attempt to show action before the potentially damaging findings in the report are revealed. Recode reports that Uber's staff will see the report on Tuesday.

Incidentally, the idea for the time-off was Kalanick's, who proposed it after the accident that took his mother's life.
